Waxon Vendor Registration - Terms & Conditions Summary 1. Vendor Agreement and Relationship: By registering as a vendor with Waxon, you agree to abide by all specified purchase orders, quality standards, delivery schedules, and payment terms as agreed upon in separate documentation or purchase agreements. The relationship between Waxon and the Vendor is that of independent contractors. Nothing in this agreement constitutes a partnership, joint venture, or employment relationship. 2. Product Quality and Compliance: The Vendor guarantees that all products and/or services supplied to Waxon will be of the highest quality, free from defects, and conform exactly to the specifications, samples, or requirements provided by Waxon. You must comply with all applicable local, state, and federal laws, regulations, and industry standards related to the manufacture, labeling, transport, and safety of your goods. 3. Intellectual Property and Confidentiality: The Vendor agrees not to use Waxon’s trademarks, logos, or other intellectual property without prior written consent. You must treat all proprietary information shared by Waxon (including product designs, pricing, and business plans) as strictly confidential and use it only for the purpose of fulfilling your obligations to Waxon. 4. Indemnity and Liability: The Vendor agrees to defend and indemnify Waxon against any claims, damages, or losses arising from defects in your goods, failure to comply with laws, or any breach of these terms. Waxon reserves the right to reject non-conforming goods or terminate this agreement immediately for material breaches, including repeated failure to meet quality standards or delivery deadlines.
